Sylvia Lee

Partner through a law corporation

Sylvia Lee has an extensive background in corporate and commercial law. Her practice focuses on providing general counsel to businesses with a particular emphasis on mergers and acquisitions, private equity, venture capital, tax-incented investments, outsourcings, the formation and financing of business ventures, corporate reorganizations and corporate financing transactions.

Background

Sylvia began her career in Vancouver with one of Canada’s largest national firms, McCarthy Tetrault, where she garnered extensive experience in corporate commercial, franchise and securities law. She has worked alongside the best and brightest lawyers in the country and has had valuable exposure to a wide range of transactions, including the acquisition of various resort operations and related real property by a major North American resort corporation, and the creation of an $800 million Unit Trust in conjunction with an initial public offering.

Sylvia went on to become the head in-house counsel and director of legal services for Keg Restaurants Ltd. where she was responsible for determining the Company’s legal posture and interests in North America and for ensuring business practices and policies met regulatory requirements. As an integral part of the corporate management team, she worked closely with the company’s various department directors to administer the company’s considerable franchising, leasing and restaurant development portfolios. During her time as in-house counsel, she effectively managed outside legal counsel in negotiation of leases, franchise law compliance and related issues, corporate record maintenance for over 25 corporate entities across 10 jurisdictions, protection of the Company’s legal rights with respect to intellectual property and competitive issues, legal defence relating to claims, and the provision of legal advice on various other matters.

Since that time, Sylvia has moved with her family to the Okanagan and returned to private practice. Her clients range from small tech start-ups, to syndicated lenders and income funds, to established multi-jurisdictional corporations.
